• Additional custom services agreed with a Client

The exact services included in your project or subscription will be those described on the applicable pricing page, checkout page, proposal, application, onboarding form, invoice, order confirmation, or written agreement.

JoinGrowStack may offer qualifying businesses a professional website with no upfront website design or development fee.

When we refer to a “FREE Website,” “Free Website Build,” “$0 Upfront Website Build,” or similar language, this refers to the initial website design and/or development fee being waived for qualifying clients.

It does not necessarily mean that all related services are free.

A qualifying Client may be required to select a paid recurring plan that can include services such as:

• Website hosting
• Maintenance
• Security
• Technical support
• Website updates
• Software
• CRM services
• Automation
• Other services described in the selected plan

The price and billing frequency of any required paid plan will be disclosed before you subscribe or authorize payment.

There is no obligation to purchase a paid service merely because you submit an application unless you subsequently accept an offer or subscription.

Submitting an application does not guarantee acceptance into the free website program.

JoinGrowStack may determine whether an applicant qualifies for a complimentary website build.

We may consider factors such as:

• Type of business
• Project requirements
• Required functionality
• Availability
• Technical complexity
• Business legitimacy
• Required integrations
• Project scope
• Whether the project is reasonably compatible with our services

We may approve or decline an application at our discretion, subject to applicable law.

We are not required to provide a reason for declining an application.

The services and deliverables included in a project are limited to the scope agreed upon between JoinGrowStack and the Client.

The scope may be described through:

• A proposal
• An order form
• An invoice
• An application
• A pricing page
• An onboarding form
• An email
• A written message
• Another written agreement between the parties

Anything not included in the agreed scope may be treated as additional work.

Examples can include:

• Additional website pages
• Advanced custom coding
• Ecommerce functionality
• Complex integrations
• Custom applications
• Large amounts of content creation
• Logo design
• SEO campaigns
• Advertising management
• Custom CRM development
• Extensive revisions
• Website migration
• Additional automations

Additional work may require an additional fee.

To provide services successfully, we may require your cooperation.

You agree to provide accurate and timely information including, where applicable:

• Business information
• Business name
• Contact information
• Logo
• Images
• Website copy
• Service information
• Pricing information
• Domain access
• Hosting access
• CRM access
• Login credentials
• Feedback
• Approvals
• Other information required for the project

You represent that you have the right and authority to provide any information, images, logos, trademarks, text, files, customer data, or other material you give us.

You are responsible for ensuring that information supplied to JoinGrowStack is accurate and lawful.

You retain ownership of content that you provide to JoinGrowStack, including your:

• Logo
• Business name
• Original photographs
• Videos
• Written content
• Trademarks
• Customer information
• Proprietary business information

You grant JoinGrowStack a limited, non-exclusive, worldwide license to use, edit, reproduce, resize, format, or otherwise process Client Content as reasonably necessary to provide the requested services.

This permission ends when it is no longer reasonably required to provide the services, except where continued storage or use is legally required or otherwise permitted under these Terms.

You are responsible for ensuring you have sufficient rights to any materials you ask us to use.

You should not provide:

• Copyrighted images you are not permitted to use
• Another company's logo without permission
• Stolen content
• Unlicensed fonts
• Unauthorized customer databases
• Illegal material
• Material that infringes another person's intellectual-property rights

JoinGrowStack may refuse or remove material we reasonably believe could violate applicable law or third-party rights.

Unless otherwise stated in your specific order or agreement, the Client retains ownership of their original Client Content.

Once the project has been completed and all amounts properly due to JoinGrowStack have been paid, the Client may use project-specific website content and custom deliverables created specifically for the Client.

However, JoinGrowStack retains ownership of its pre-existing and reusable materials, including:

• Internal systems
• Processes
• Templates
• Frameworks
• Automation structures
• Reusable code
• Design systems
• Internal documentation
• SOPs
• Development tools
• Reusable components
• Business methods

Your website may also rely on third-party software, themes, plugins, frameworks, stock assets, fonts, APIs, SaaS platforms, or other technology.

Ownership or use of those components is governed by the applicable third-party provider's terms.

Some JoinGrowStack websites may be built using hosted website platforms, website builders, CRM platforms, or other SaaS technology.

Certain platforms may not allow a website to be completely exported or transferred.

If your website is built using such a platform:

• You do not own the underlying third-party platform.
• You do not automatically receive ownership of third-party software.
• Certain features may stop working if the applicable subscription ends.
• A rebuild may be required to move the website to another platform.
• Migration or rebuilding is not included unless expressly stated.

JoinGrowStack will not intentionally represent a third-party platform as property owned by the Client.

Our services may use third-party products such as:

• Hosting services
• CRM platforms
• Website builders
• Domains
• Plugins
• Themes
• APIs
• Email providers
• SMS providers
• Payment processors
• Analytics tools
• AI platforms
• Automation platforms
• Fonts
• Stock media
• External applications

These third parties operate independently and may change their:

• Prices
• Features
• APIs
• Terms
• Policies
• Availability
• Licensing
• Technical requirements

JoinGrowStack is not responsible for a third-party provider's independent actions, downtime, price changes, security incidents, discontinuation, or policy changes.

JoinGrowStack may provide certain software, plugins, themes, CRM functionality, or other tools through an agency or subscription license.

Unless explicitly stated otherwise, receiving access through JoinGrowStack does not transfer ownership of the underlying license to you.

Access may be available only while:

• Your applicable JoinGrowStack subscription remains active and paid; and
• JoinGrowStack continues to maintain access to the applicable third-party product.

If a third-party provider discontinues a feature or license, we may discontinue that functionality or provide a reasonable alternative where practical.

Revision rights may depend on the service or plan purchased.

Revisions generally apply to reasonable changes within the originally agreed project scope.

A request may be considered additional work when it substantially changes the original project, including requests for:

• New pages
• New functionality
• Major redesigns after approval
• Additional integrations
• New automation systems
• Different website platforms
• New applications
• Extensive new content

We may quote an additional fee for work that is outside the original scope.

During development, we may ask you to review designs, pages, content, or functionality.

Once you approve a design or request that the website be published, the approved portion will generally be considered accepted.

Errors reported after approval may still be corrected where appropriate, but new design preferences or scope changes may be considered additional work.

Any project completion date or turnaround time provided by JoinGrowStack is a good-faith estimate unless expressly guaranteed in writing.

Project completion may depend on:

• Client response times
• Content delivery
• Domain access
• Hosting access
• Technical complexity
• Third-party services
• Requested revisions
• Integrations
• Platform availability
• Unexpected technical problems

We are not responsible for delays caused by the Client's failure to provide necessary materials, access, feedback, or approval.

If we request information, content, access, feedback, or approval and the Client fails to respond for 30 consecutive days, we may consider the project inactive or abandoned.

We may close or archive an abandoned project.

Restarting an abandoned project may depend on our availability and may require additional payment if additional work is necessary.

Any amounts already earned for completed work remain due.

JoinGrowStack may provide monthly or annual recurring plans.

These plans may include services such as:

• Hosting
• Maintenance
• Technical support
• Updates
• CRM
• Automation
• Website management
• Security
• Other services described in the applicable plan

The services included in your subscription are those displayed or communicated when you subscribe.

Where you purchase a recurring subscription, the subscription will continue and renew according to the billing frequency disclosed to you until cancelled.

By providing a valid payment method and accepting a recurring plan, you authorize the applicable payment provider to charge the applicable recurring fee.

Recurring charges may include applicable taxes, payment fees, or currency-conversion costs where disclosed or imposed by the applicable payment provider.

Unless stated otherwise at the time of purchase, monthly and annual subscription plans automatically renew until cancelled.

You should cancel before your next renewal date if you do not want the next billing cycle to begin.

You may cancel an ongoing JoinGrowStack subscription before the next renewal date by contacting us through the cancellation method identified on our website, billing portal, or customer communications.

Cancellation prevents future renewal charges.

Cancellation does not ordinarily reverse or refund a payment that has already been properly processed for an existing billing period, except where required by applicable law or where JoinGrowStack expressly agrees otherwise.

You generally remain entitled to the applicable service through the period for which you have already paid, unless the account is terminated for a serious violation of these Terms.

If your website is hosted through JoinGrowStack, cancelling the applicable hosting or website subscription may result in the website going offline after the paid service period ends.

Where technically possible, you may request transferable website materials before service ends.

You are responsible for arranging replacement hosting if you no longer want JoinGrowStack to host your website.

Website migration to another provider is not automatically included with cancellation unless your plan or written agreement states otherwise.

Certain third-party or platform-specific elements may not be transferable.

Unless a specific minimum commitment is clearly disclosed to you before purchase, a normal recurring subscription may be cancelled before a future renewal.

If JoinGrowStack introduces a plan requiring a minimum term, setup recovery fee, early termination fee, or similar commitment, that requirement must be disclosed as part of the applicable offer before the Client accepts it.

Prices for JoinGrowStack services are those presented at the time of purchase or agreed with the Client.

We may change prices for future purchases at any time.

For an existing recurring subscription, we will provide reasonable advance notice before materially increasing the recurring subscription price where required by applicable law or our payment arrangements.

You may cancel before the new price takes effect if you do not want to continue at the changed price.

Unless otherwise stated in a specific offer:

Recurring subscriptions

Payments already processed for a current subscription period are generally non-refundable after that billing period has begun.

Cancelling stops future renewal charges.

Project-based services

Deposits or payments for custom services may become non-refundable after work has begun to the extent they reasonably correspond to work already performed or resources committed.

Exceptions

Nothing in this section removes any refund, cancellation, chargeback, or consumer rights that cannot legally be waived.

We may also issue a refund at our discretion where we believe circumstances justify one.

If a scheduled subscription payment fails, JoinGrowStack may contact you and request an updated payment method.

During an unresolved payment failure, we may suspend:

• Website hosting
• Website maintenance
• CRM access
• Automation
• Premium software access
• Technical support
• Other subscription services

If an outstanding payment remains unresolved after reasonable notice, we may terminate the affected service.

If you believe a charge is incorrect, please contact JoinGrowStack first so we can investigate.

Nothing in these Terms prevents you from exercising rights available through your bank, payment provider, card network, or applicable law.

However, fraudulent or intentionally abusive payment disputes may result in suspension or termination of services and recovery efforts for legitimate unpaid amounts.

Maintenance services cover only the services included in the applicable plan.

Maintenance does not automatically include unlimited:

• Redesigns
• New website pages
• Content creation
• Custom development
• New integrations
• Marketing campaigns
• SEO work
• Ecommerce development

Additional work may require additional payment.

We aim to provide reliable services, but no internet-based service can be guaranteed to operate continuously without interruption.

Unless expressly provided under a separate written service-level agreement, we do not guarantee 100% uptime.

Website availability may be affected by:

• Hosting providers
• Internet outages
• DNS providers
• Domain registrars
• Software updates
• Cyberattacks
• Plugin failures
• API failures
• Platform outages
• Maintenance
• Events outside our reasonable control

Unless expressly included in your plan, domain registration and renewal fees may be separate from JoinGrowStack's service fees.

Where practical, we recommend that Clients retain ownership or control of their primary domain registration.

Clients are responsible for keeping domain contact and renewal information current where the domain is registered in their own account.

JoinGrowStack is not responsible for the expiration of a Client-controlled domain where the Client fails to renew it.

JoinGrowStack takes reasonable measures to protect systems and Client information.

However, no website or internet-connected system is completely secure.

We cannot guarantee that websites or services will never experience:

• Hacking
• Malware
• Data breaches
• Unauthorized access
• Software vulnerabilities
• Data loss
• Third-party security incidents

Clients should maintain appropriate backups and security practices for important business information.

Where backups are included in a plan, they are provided as an operational convenience and should not be treated as the Client's only backup of critical information.

Clients are encouraged to maintain independent copies of important business content and data.

Unless specifically contracted as a separate legal-compliance service, JoinGrowStack does not provide legal advice.

The Client remains responsible for ensuring their business and website comply with laws applicable to their activities.

This may include requirements concerning:

• Privacy
• Cookies
• Advertising
• Consumer disclosures
• Accessibility
• Licensing
• Professional regulations
• Ecommerce
• Taxes
• Email marketing
• SMS marketing
• Intellectual property

We may help implement privacy pages, consent tools, accessibility features, or similar technology, but technical implementation is not a guarantee of legal compliance.

JoinGrowStack does not guarantee specific business results.

Unless expressly stated in a separate written guarantee, we cannot guarantee that a website or marketing service will result in:

• A particular Google ranking
• A specific amount of traffic
• A specific number of leads
• A specific conversion rate
• Increased sales
• Increased revenue
• New customers
• Advertising profitability
• Specific email-delivery rates

Business outcomes depend on many factors outside JoinGrowStack's control.

JoinGrowStack may use automation and artificial-intelligence technology as part of its internal workflow or services.

AI-generated or AI-assisted output may contain errors.

Where AI tools are incorporated into Client-facing systems, Clients are responsible for reviewing important outputs before relying on them for legal, financial, medical, safety-critical, or similarly sensitive decisions.

Unless otherwise agreed, JoinGrowStack does not guarantee that AI-generated responses will always be accurate.

Where JoinGrowStack configures CRM, email, SMS, calling, or other communication tools, the Client is responsible for using those services lawfully.

The Client is responsible for obtaining any consent legally required before contacting leads or customers through:

• Email
• SMS
• Telephone
• Automated communication
• Marketing campaigns

JoinGrowStack may suspend systems being used for spam, fraud, illegal communications, or violations of third-party platform rules.

Unless you ask us not to, you grant JoinGrowStack permission to display publicly available portions of completed work for reasonable promotional purposes.

This may include:

• Your business name
• Your logo
• Website screenshots
• A link to your website
• General descriptions of the project
• Testimonials you have authorized for publication

We will not intentionally publish confidential information merely for portfolio purposes.

We will make reasonable efforts to remove future portfolio references after receiving your request.

During a project, either party may receive confidential or proprietary information from the other.

Each party agrees to use reasonable care to protect non-public confidential information and to use it only for legitimate purposes related to the services.

Confidential information does not include information that:

• Is already publicly available
• Becomes public without wrongdoing
• Was lawfully known before disclosure
• Is independently developed
• Must be disclosed by law

These confidentiality obligations may continue after the project ends where appropriate.

Where you provide account credentials to JoinGrowStack, you authorize us to access the relevant account only as reasonably necessary to perform requested services.

You remain responsible for controlling who has access to your accounts.

We recommend changing or revoking credentials when access is no longer required.

You may not use JoinGrowStack's website or services to:

• Conduct illegal activity
• Commit fraud
• Distribute malware
• Impersonate another individual or business
• Violate intellectual-property rights
• Send unlawful spam
• Conduct phishing
• Harass or threaten others
• Circumvent security systems
• Gain unauthorized system access
• Distribute illegal content
• Misuse customer information
• Interfere with our infrastructure

We may suspend or terminate services reasonably believed to be used for illegal, fraudulent, harmful, or abusive purposes.

JoinGrowStack may suspend or refuse services where reasonably necessary, including where:

• Payments remain unpaid
• The Client seriously violates these Terms
• The Client requests illegal work
• Fraud is suspected
• Systems are being abused
• Providing the service would violate a third-party platform's rules
• The Client threatens or abuses staff or contractors
• Continuing the service would create unreasonable security or legal risks

Where practical, we will attempt to communicate the reason for suspension.

You may stop using JoinGrowStack services and cancel ongoing subscriptions according to the cancellation provisions above.

Amounts already earned or properly charged remain subject to the payment and refund sections of these Terms.

JoinGrowStack may discontinue a service or terminate an engagement where reasonably necessary.

Where we discontinue a prepaid service for reasons unrelated to Client wrongdoing, we may, where appropriate, either:

• Continue providing the service until the paid period ends; or
• Provide a reasonable prorated refund for an unused prepaid portion.

Nothing in this provision overrides rights required by applicable law.

When a subscription ends:

• Future recurring charges stop.
• Hosting may end at the conclusion of the paid period.
• Premium software supplied through JoinGrowStack may be disconnected.
• CRM or automation services may stop.
• Agency licenses may be removed.
• Support obligations under the cancelled plan end.
• Client access to third-party services controlled by JoinGrowStack may end.

You should export any data you need before termination where export functionality is available.

We may delete inactive project files or account data after a reasonable retention period, subject to our Privacy Policy and applicable law.

To the maximum extent allowed by applicable law, JoinGrowStack's services are provided on an “as available” basis.

We do not guarantee that every service will:

• Be completely error-free
• Operate without interruption
• Remain compatible with every future browser or device
• Remain compatible with future third-party software
• Produce a particular business result

Nothing in these Terms excludes warranties or protections that cannot legally be excluded.

To the maximum extent permitted by applicable law, JoinGrowStack will not be responsible for indirect, incidental, special, punitive, or consequential losses resulting from the use of our services.

This can include loss resulting from:

• Third-party outages
• Website downtime
• Loss of potential customers
• Lost profits
• Lost opportunities
• Third-party platform changes
• Unauthorized attacks
• Client errors
• Domain problems
• API failures
• Software incompatibilities

Where JoinGrowStack is legally liable and applicable law permits a contractual limitation, our total liability relating to a specific paid service will generally not exceed the fees actually paid to JoinGrowStack for that service during the preceding 12 months.

This limitation does not apply where applicable law does not permit such limitation.

To the extent permitted by applicable law, you agree to be responsible for claims or losses resulting from:

• Materials you provide without permission
• Your illegal use of our services
• Your violation of these Terms
• Your infringement of third-party intellectual-property rights
• False information supplied by you
• Illegal marketing or communications conducted through systems configured for you
• Instructions you provide that violate applicable law

This section is not intended to make you responsible for JoinGrowStack's own unlawful conduct.

JoinGrowStack is not responsible for a delay or inability to perform caused by circumstances reasonably outside our control.

Examples include:

• Natural disasters
• Floods
• Fires
• War
• Civil unrest
• Government restrictions
• Internet outages
• Power failures
• Large-scale cyberattacks
• Hosting-provider outages
• Major third-party platform failures
• Other comparable events

JoinGrowStack provides services as an independent contractor.

Nothing in these Terms creates an employment relationship, partnership, joint venture, franchise, or agency relationship between JoinGrowStack and the Client.

Our collection, processing, storage, and use of personal information is described in the JoinGrowStack Privacy Policy.

The Privacy Policy forms part of the rules governing use of our website and services.

Clients who collect personal information from their own customers remain responsible for satisfying their own applicable privacy obligations.

These Terms may be accepted electronically.

Acceptance may occur when you:

• Check an agreement box
• Click an acceptance button
• Complete a checkout after being shown these Terms
• Sign an electronic agreement
• Authorize a subscription
• Otherwise affirmatively agree to the Terms electronically

Electronic records may be used to document the version of the Terms accepted and the time of acceptance.

We may update these Terms when our:

• Services change
• Pricing models change
• Technology changes
• Business structure changes
• Legal obligations change

The latest version will be published on https://joingrowstack.com with an updated “Last Updated” date.

Material changes affecting an active paid subscription may also be communicated through email or another reasonable method where appropriate.

Changes will not override non-waivable rights under applicable law.

Unless a different governing law is expressly agreed in writing or applicable law requires otherwise, these Terms and the relationship between JoinGrowStack and the Client will be governed by the laws of Bangladesh.

Any mandatory rights available to a Client under applicable consumer or other law remain unaffected.

The parties should first attempt in good faith to resolve any dispute through direct communication before commencing formal legal proceedings.

If any part of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the maximum extent permitted by law.

If JoinGrowStack does not immediately enforce a provision of these Terms, that does not mean we permanently waive our right to enforce it later.

These Terms, together with:

• The applicable proposal
• Order confirmation
• Checkout terms
• Service description
• Any written agreement specific to your project

form the agreement governing the applicable services.

Where a specific written service agreement conflicts with these general Terms, the specific written agreement will control for that service unless otherwise stated.
